These Terms of Service ("Terms") govern your access to and use of the Clockwise time tracking, approvals, leave, and invoicing software (the "Service") provided by Capital Technology Group ("Clockwise", "we", "us"). By creating an account or using the Service, you agree to these Terms on behalf of yourself and the organization you represent ("Customer").
You must be authorized to act on behalf of your organization to create an account or accept these Terms. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Access is governed by single sign-on and the role-based permissions configured by your organization's administrators.

As between the parties, Customer owns all timekeeping, approval, leave, and related data submitted to the Service ("Customer Data"). You grant us a limited license to host, process, and transmit Customer Data solely to provide and secure the Service. Our handling of personal information is described in our Privacy Policy.
The Service maintains append-only audit trails to support DCAA record-keeping requirements. Because of these obligations, certain timekeeping records cannot be deleted on demand and are retained for the period required by federal contract record-keeping rules, as described in our Privacy Policy.
We strive to keep the Service available and secure, but it is provided on an "as is" and "as available" basis. We may perform maintenance, update features, or modify the Service from time to time. We are not liable for downtime, data loss, or interruptions outside our reasonable control.
To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose. The Service is a tool that supports — but does not replace — your own compliance obligations. To the extent permitted by law, our aggregate liability arising out of or relating to the Service will not exceed the fees paid by Customer in the twelve months preceding the claim.
Either party may terminate a subscription as described in the applicable order or plan. We may suspend or terminate access for material breach of these Terms. Upon termination, your right to use the Service ends; we will make Customer Data available for export for a reasonable wind-down period, subject to the record- retention obligations described above.
We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by email. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
